1. Acceptance of these terms

These Terms of Service (the "Terms") govern your access to and use of the ftInvstr website at ftinvstr.in, our mobile applications, and any related services (together, the "Service") operated by ftInvstr ("we", "us", "our").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What the Service is — and what it isn't

2.1 What it is

ftInvstr lets you research, build, and track hypothetical investment strategies on Indian equities. You can:

• Define a strategy expression using our Strategy Lab;
• Run a historical backtest of that strategy against published past market data;
• "Track" strategies (whether yours or those listed by other users) to receive daily simulated P&L updates and signal notifications.

2.2 What it isn't

The Service is not investment advice, and we are not a SEBI-registered investment advisor or research analyst.

• We do not recommend, endorse, or rank securities for purchase or sale.
• We do not handle money. We do not custody assets. We do not execute trades.
• We do not integrate with any brokerage. Any decision to buy or sell securities based on what you see in the Service is entirely your own.
• All P&L and performance figures shown are hypothetical, derived from historical price data, and do not reflect actual trading results. They do not account for slippage in your specific account, brokerage commissions you would pay, taxes you owe, or your individual tax situation.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract under Indian law to use the Service. By using the Service, you represent that you meet these requirements.

4. Your account

• You are responsible for keeping your login credentials secure. Do not share your password.
• You are responsible for all activity on your account.
• Notify us promptly at help@ftinvstr.in if you suspect unauthorised access.
• One account per individual. Do not create multiple accounts to circumvent rate limits, abuse the Service, or impersonate others.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Reverse-engineer, scrape, or systematically extract data from the Service except as expressly permitted;
• Attempt to disrupt, overload, or compromise the security of the Service;
• Use the Service to provide investment advice to third parties in a manner that would require SEBI registration without holding such registration yourself;
• Impersonate any person or misrepresent your affiliation with any person or entity;
• Republish, redistribute, or sell access to the Service or its content without our written consent.

6. Your content

You retain ownership of strategies, expressions, and configurations you create on the Service ("Your Content"). By creating Your Content on the Service, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, copy, transmit, display, and analyse Your Content solely to operate and improve the Service. We do not claim ownership of Your Content.

If you mark Your Content as "public", you additionally grant other users the right to view and follow that content via the Service.

7. Our content

All software, documentation, data layouts, design elements, branding, and ML models that comprise the Service are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes only.

8. Data sources and accuracy

The Service draws on third-party data sources (e.g., NSE bhavcopy, XBRL filings, screener data, Kite EOD). While we work to keep data accurate and timely, we do not warrant that data is error-free, complete, or up to date. Backtests are simulations and may differ from the results you would obtain in actual trading. Data underlying past backtests may be retroactively corrected (e.g., for corporate-action adjustments or filing restatements), which can cause historical performance figures to shift over time.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

Specifically, we do not warrant that:

• The Service will be uninterrupted, secure, or error-free;
• Strategy performance shown is achievable in actual trading;
• Any specific result, profit, or outcome will be obtained from using the Service.

10. Limitation of liability

To the maximum extent permitted by law, ftInvstr (and its directors, employees, and contractors) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill — arising from your use of, or inability to use, the Service.

Our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed ₹10,000 (Indian Rupees Ten Thousand) or the amount you have paid us in the preceding 12 months for the Service, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

11. Indemnity

You agree to defend, indemnify, and hold harmless ftInvstr from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service in violation of these Terms or applicable law;
• Your investment decisions or trading actions, whether or not informed by the Service;
• Your Content or your alleged infringement of any third-party rights.

12. Termination

You may close your account at any time by emailing help@ftinvstr.in. We may suspend or terminate your access if you violate these Terms or applicable law, or if we reasonably believe you pose a security or legal risk to the Service or its users. We will give reasonable notice where practical. On termination, the licences granted to you under these Terms end, but Sections 6 (your content licence), 7 (our IP), 9–13 will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer protections under applicable law, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana.

Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve the dispute informally by contacting us at help@ftinvstr.in.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. For material changes, we will notify you via email or an in-app notice at least 30 days before the change takes effect. Your continued use of the Service after a change indicates your acceptance of the updated Terms.

15. General

• Entire agreement: these Terms (together with the Privacy Policy) are the entire agreement between you and us regarding the Service and supersede any prior agreements.
• Severability: if any provision of these Terms is held invalid or unenforceable, the rest will remain in effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms freely.
